SINNTS Terms of Service

• Welcome

  Welcome to SINNTS! By accessing or using the SINNTS application (the “Platform“) provided by SINNTS Tech Ltd. or its affiliates (“we,“ “us,“ or “SINNTS“), you agree to these Terms of Use (“Terms“). These Terms constitute a legally binding agreement between you (“you“ or “your“) and us, governing your use of our services, including our websites, applications, products, and content (collectively, the “Services“). Please take the time to read these Terms carefully, as they define your rights and obligations when using the Platform. Your use of the Services also implies acceptance of our Privacy Policy and any additional guidelines, rules, or agreements applicable to specific services or features.

• Agreement

  By accessing or using our Services, you confirm that you form a binding contract with SINNTS and agree to these Terms. Your use of our Services is also subject to our Privacy Policy and Community Guidelines, accessible on the web and mobile Platform, available at playstore or app store. By using the Services or clicking “Sign Up,“ you consent to these terms and any future revisions, which will be available at [About us>User Agreement]. Continued use of our Services after changes means you accept the updated terms.

  If you're using the Services on behalf of a business or organisation: (a) “you“ and “your“ include both you and the business or organisation, (b) you confirm that you have the authority to agree to these Terms on behalf of the business or organisation, and (c) the business or organisation is responsible for your use of the Services and for anyone else from your organisation, like employees or contractors, who use the Services. By using the Services, you agree to these Terms. We suggest you print or save a copy for your records. If you're acting for an organisation, you also confirm that you’re authorised to do so, and that the organisation agrees to these Terms.

• Who May Use the Service?

  • 1. Age Restriction

    To use the Services, (1) you must be at least 18 years old (“Minimum Age“), and (2) you must not be currently restricted by SINNTS from using the Services. Creating an account with false information, including accounts made on behalf of others or by individuals under 18, violates our Terms. If the law in your jurisdiction requires you to be older than 18 for SINNTS to provide the Services without parental consent, then the Minimum Age is that higher age.

    You are solely responsible for keeping your SINNTS account and password secure. Any actions or activities conducted through your SINNTS account will be considered your responsibility.

  • 2. Account Types

    The App caters to Two types of Accounts:

    • 2.1. Regular Account: A Regular Account is available to all users at no cost. This account provides access to certain features, including live streaming, timeline uploads, and wallet functions. Regular Account users can upload content, provided they respect and honour copyright laws. Additionally, they can participate in contests, view publications, send and receive gifts, and engage with content through comments, likes, shares, and more. Please note that SINNTS Tech Ltd. reserves the right to update the access to these features. The availability of features may increase or decrease based on decisions made by SINNTS Tech Ltd.

    • 2.2. Premium Account: The SINNTS Premium Account is a paid version of the standard account that grants users access to exclusive features. Premium accounts are available to three specific groups:

      • 2.2.1. High Net Worth Individuals (HNI): High Net Worth Individuals, as determined by SINNTS Tech, are registered on the platform as HNI. These users have access to premium features such as creating contests (paid or free), publications, and conferences. A “Premium Account Fee,“ determined by SINNTS, must be paid before opening a premium account.
      • 2.2.2. Sponsors: Sponsors are organisations (governmental and non-governmental) registered by SINNTS to contribute to spreading impact across the platform. Sponsors can create contests and target communities for value dissemination. They are entitled to the same privileges as HNI and must be registered by SINNTS.

      • 2.2.3. Business Accounts: Business owners aiming to reach a broader market or use a long-tail strategy for targeting niche markets are encouraged to create a Business Account on SINNTS. These accounts allow entities to utilise the platform's features for marketing and promotional activities.

        Please note that SINNTS Tech Ltd. reserves the right to update the access to these features. The availability of features may increase or decrease based on decisions made by SINNTS Tech Ltd.

  • 3. Access and Use of SINNTS Services

    Your use of the Services is governed by these Terms, along with all applicable laws and regulations. The following actions are strictly prohibited:

    • 3.1. Using the Services if you lack the legal capacity to agree to these Terms.
    • 3.2. Creating unauthorised copies, modifying, adapting, translating, reverse engineering, disassembling, decompiling, or creating derivative works of the Services or any content within, including any code, algorithms, or techniques.
    • 3.3. Distributing, licensing, transferring, or selling any part of the Services or derivative works thereof.
    • 3.4. Marketing, renting, or leasing the Services for any fee, or using the Services for commercial purposes without our explicit written consent.
    • 3.5. Disrupting the Services, interfering with our website or associated networks, or bypassing any security measures.
    • 3.6. Incorporating the Services or any part of it into another product or program. We reserve the right to limit access, terminate accounts, or refuse service at our discretion.
    • 3.7. Using automated tools or scripts to collect information from or interact with the Services.
    • 3.8. Impersonating any person or entity, or misrepresenting your identity or affiliation.
    • 3.9. Intimidating, harassing, or promoting harmful content, including material that is sexually explicit, violent, discriminatory, or otherwise offensive.
    • 3.10. Using another user‘s account or system without permission, or creating a false identity.
    • 3.11. Engaging in activities that create conflicts of interest, undermine the Services, or involve trading fake reviews.
    • 3.12. Uploading or distributing harmful software, unsolicited advertising, or any material that violates privacy or intellectual property rights.
    • 3.13. Posting content that is defamatory, obscene, threatening, or otherwise harmful.
    • 3.14. Sharing material that encourages criminal behaviour, self-harm, or harassment, including trolling and bullying.
    • 3.15. Uploading any content that could be deemed racist, discriminatory, or illegal according to the laws of the country of the user.

    Your use of the Services must always comply with our Community Guidelines. We reserve the right to remove or restrict access to any content without prior notice, particularly if it violates these Terms, our Community Guidelines, or is harmful to the Services or users. Our automated systems may analyse your content to offer personalised features like customised search results, tailored ads, and spam or malware detection. This analysis happens when content is sent, received, or stored.

• CONTENTS

  • 1. SINNTS Contents

    The content available on the SINNTS platform, including but not limited to videos, audio, graphics, photos, text, branding (such as trade names, trademarks, service marks, or logos), interactive features, software, and other materials (collectively, “Content“), is provided by users, SINNTS, or third parties. Content is the responsibility of the entity or individual who provides it. SINNTS acts as a hosting service for such Content and does not guarantee its accuracy, completeness, or quality. If you encounter any Content that you believe violates these Terms, the Community Guidelines, or the law, you may report it to us.

    All Content on the SINNTS platform, including software, images, text, graphics, logos, and intellectual property, is owned or licensed by SINNTS or the respective rights holders. Users retain ownership of the Content they upload or transmit through the Services, but by doing so, grant SINNTS a non-exclusive, worldwide, royalty-free licence to use, distribute, and display such Content in connection with the Services. You are strictly prohibited from downloading, copying, reproducing, distributing, or exploiting any SINNTS Content or materials for any purpose not explicitly permitted by these Terms. SINNTS reserves all rights not expressly granted in these Terms, and may terminate any licence or rights to use the Content at any time without notice.

  • 2. User Generated Content (UGC)

    You are responsible for any content you upload to the App (“User Content“). You grant SINNTS a non-exclusive, royalty-free licence to use, reproduce, modify, publish, distribute, and translate User Content in connection with the App. When you use SINNTS, you may engage in various activities that allow you to create, upload, and share content such as videos, images, text, and other materials (“User Content“). This User Content may be enhanced with SINNTS features, including but not limited to, graphics, music, stickers, and virtual items. The views and opinions expressed in User Content by other users do not reflect those of SINNTS, and we do not endorse or assume responsibility for any User Content shared on the platform. By submitting User Content to SINNTS, you retain ownership of your content but grant SINNTS a worldwide, non-exclusive, royalty-free licence to use, modify, distribute, and display your content for the purpose of operating and promoting the Services. Additionally, you grant other users a non-exclusive, royalty-free licence to access, use, and share your content within the platform as enabled by SINNTS features. It is your responsibility to ensure that the content you submit does not violate any laws or third-party rights, including intellectual property rights. SINNTS may use automated systems to monitor and manage User Content for compliance with our Terms and applicable laws. We are committed to maintaining a safe and positive environment for our community. SINNTS employs advanced systems and teams dedicated to detecting and preventing harmful behaviour and content. If we identify any User Content or conduct that violates our policies, is harmful, or poses a risk to our community, we may take appropriate actions, including removing the content, restricting account access, or reporting the issue to relevant authorities. SINNTS also reserves the right to store and distribute User Content across our global network, ensuring that our services remain accessible to users worldwide.

  • 3. Licence Grant to SINNTS and Other Users

    By submitting Content to the SINNTS platform, you grant SINNTS a global, non-exclusive, royalty-free, transferable, and sublicensable licence to use, reproduce, distribute, modify, display, and perform your Content. This licence is granted for the purposes of operating, promoting, and enhancing our Services.

    Additionally, you grant other users of SINNTS a worldwide, non-exclusive, royalty-free licence to access, use, reproduce, distribute, modify, display, and perform your Content within the features of the platform, as permitted by you through the functionality provided by SINNTS.

  • 4. Content Removal

    You may remove your Content from Sinnts at any time and are encouraged to make a copy before doing so. It is your responsibility to remove Content if you no longer possess the rights required under these terms. Sinnts reserves the right to remove or take down any Content that it reasonably believes breaches this Agreement or poses a risk of harm to Sinnts, its users, or third parties. You may be notified of the reason for such action unless doing so would violate the law, compromise an investigation, or cause harm to others. Additionally, Sinnts may terminate your licence to use the Services without notice if your use violates these terms, involves fraudulent activity, or if technical or business reasons prevent continued service. If you are dissatisfied with the Services, your sole remedy is to terminate your account and cease use of the platform.

• Sinnts V-Store

  • 1. Transaction Terms

    When purchasing any product or service offered through the Service, you may be required to provide specific information related to your transaction, including but not limited to your credit/debit card number, its expiration date, your billing address, and shipping details. You confirm and guarantee that: (i) you possess the legal authority to use any credit/debit card(s) or other payment methods provided for the transaction; and (ii) the information you provide is accurate, truthful, and complete. We may utilise third-party services to process payments and facilitate transactions. By providing your information, you consent to us sharing it with these third parties, in accordance with our Privacy Policy. We reserve the right to refuse or cancel your transaction at any time due to various reasons, including but not limited to product or service availability, pricing errors, inaccuracies in the product or service description, or issues with your order. In addition, we retain the right to decline or void any order if we suspect it involves fraudulent, unauthorised, or illegal activities. Please note that processing fees cannot be refunded, and all product purchases are final.

  • 2. Registration and Account

    • 2.1. You must be at least 18 years old to register on Sinnts E shop. By using Sinnts V-Store, or agreeing to these terms, you confirm that you are at least 18 years of age.
    • 2.2. When registering for an account on Sinnts V-Store, you will be required to provide an email address/user ID and a password. By doing so, you agree to:
    • 2.3. Keep your password confidential;
    • 2.4. Immediately notify us in writing (using the contact details provided on SINNTS website) if you become aware of any unauthorised disclosure of your password;
    • 2.5. Take responsibility for any activities on the V-Store resulting from your failure to maintain the confidentiality of your password, and you may be held liable for any losses incurred as a result of such a failure;
    • 2.6. Use your account exclusively, and not transfer it to any third party. If you authorise a third party to manage your account, you do so at your own risk;
    • 2.7. We may suspend or cancel your account, or edit your account details at any time, at our sole discretion, without notice or explanation. If we cancel any products or services that you have paid for but not yet received and you have not breached these terms, we will refund you accordingly. You may cancel your account by contacting us.

  • 3. Terms and Conditions of Sale

    • 3.1. By using our V-Store, you acknowledge and agree that:

      • 3.1.1. The V-Store serves as an online platform for premium account holders to offer and buyers (Regular and premium account holders) to purchase products;
      • 3.1.2. We facilitate binding sales on behalf of sellers, but unless otherwise indicated, we are not a party to the transaction between the buyer and the seller;
      • 3.1.3. A contract for the sale and purchase of a product will be established between the buyer and seller when the buyer confirms the purchase via the marketplace, at which point both parties are committed to the transaction.

    • 3.2. The seller's terms of business will govern the sale and purchase contract between the buyer and seller, subject to these general terms and conditions. The following provisions will also be incorporated into the contract:

      • 3.2.1. The product price will be as stated in the product listing;
      • 3.2.2. The product price must include all applicable taxes and comply with current laws;
      • 3.2.3. Any additional charges, such as delivery, packaging, handling, administrative fees, insurance, or other ancillary costs, will only be payable by the buyer if explicitly and clearly stated in the product listing. Digital products may be delivered electronically;
      • 3.2.4. Products must be of satisfactory quality, fit for purpose, and conform in all material respects to the product listing and any other descriptions provided by the seller;
      • 3.2.5. For physical products, the seller warrants that they have good title to the products, are the sole legal and beneficial owner, and have the right to supply them under this agreement, free from any third-party rights or restrictions. For digital products, the seller warrants that they have the right to supply them to the buyer.

• Identity Verification (KYC)

  To access our services, we may require you to verify your identity. This process may involve requesting your banking details, a valid ID, and/or proof of address. By providing this information, you consent to us sharing it with secure verification agencies and databases. Additionally, you authorise us to submit these details to regulatory government agencies as necessary.

• Sinnts Publication Feature

  SINNTS Publication feature offers premium users the tools to create visually appealing blog posts, and we encourage you to explore these features.

  You retain ownership of the content you publish on your blog, and we do not claim any ownership rights. However, you are responsible for ensuring that the content you post does not include anything prohibited, such as spam, malware, or threats of violence.

  If you encounter a SINNTS blog post that you believe violates these Terms, please inform us by reporting the post(s).

  • 1. Licence. By uploading or sharing content on SINNTS, you grant us a global, royalty-free, transferable, sub-licensable, and non-exclusive licence to use, reproduce, modify, distribute, adapt, publicly display, and publish the content solely for the purpose of providing, improving, and promoting our products, our Services, your blog, your account and your account holder. This licence also allows us to make any publicly posted content available to select third parties for analysis and distribution. Additionally, you permit other SINNTS users to share your content on their websites and add their content to it, provided they use only a portion of your post and credit you as the original author by linking back to your blog post.
  • 2. Removing Content. If you choose to delete content, we will make reasonable efforts to remove it from public view on SINNTS. However, you acknowledge that references to the content may not be immediately removed.
  • 3. Web Traffic. We may use third-party services to measure the audience and usage of SINNTS. By blogging on SINNTS, you agree to assign the traffic for your website to us and authorise us to sign a Traffic Assignment Letter on your behalf. This may result in your blog’s traffic being included under SINNTS, and your blog may not receive individual credit for traffic in respective reports. If needed, you agree to provide additional documentation to verify ownership of your blog.
  • 4. Prohibited Uses. Your content and activities must comply with the SINNTS terms of use. These guidelines outline the types of content and behaviour that are not permitted because they are considered harmful to the community.
  • 5. Advertisements. Unless you have purchased a plan that removes ads, we may display advertisements on your publications.
  • 6. Attribution. We may include attribution text or links in your website’s footer or toolbar, indicating that your blog is powered by SINNTS or crediting the creator of your theme.

• Sinnts Wallet Terms and Conditions

  Every user has access to Sinnts wallet, however premium users have access to more premium features like bulk transfer.

  By using SINNTS Wallet, you agree to the following terms and conditions, which govern your use of the wallet and all transactions made through it. Please read these terms carefully before using SINNTS Wallet. If you do not agree with these terms, you should not use the service.

  • 1. Eligibility

    • 1.1. To use SINNTS Wallet, you must be at least 18 years old and have a valid SINNTS account.
    • 1.2. By using SINNTS Wallet, you confirm that you meet these eligibility requirements.

  • 2. Account Registration and Security

    • 2.1. You must register an account with SINNTS to use SINNTS Wallet
    • 2.2. You are responsible for maintaining the confidentiality of your account details, including your password.
    • 2.3. Any activity that occurs under your account is your responsibility, and you must notify us immediately if you suspect any unauthorised use.

  • 3. Services

    • 3.1. SINNTS Wallet allows you to purchase utilities such as airtime, electricity, and TV subscriptions.
    • 3.2. You can also buy and send gifts to other users through SINNTS Wallet. 4.3. All transactions are subject to availability and applicable fees, which will be clearly stated at the time of purchase.

• SINNTS Contest Terms and Conditions

  • 1. Eligibility

    Only SINNTS premium account holders who are at least 18 years old are eligible to create contests. By creating a contest, you confirm that you meet these criteria.

  • 2. Contest Creation

    You may create either paid or free contests on SINNTS. You have the discretion to charge an entry fee for participants. All fees and contest details must be clearly stated during the contest creation process.

  • 3. Prize Winnings

    Before the creation of any contest, SINNTS reserves the right to withdraw the promised reward amount from your wallet. This amount will be held by SINNTS and will be awarded to the prize winners upon contest completion. To create a contest, you must have at least the minimum required balance for prize winnings in your wallet.

  • 4. Contest Management

    SINNTS reserves the right to review and approve contests before they are published. SINNTS may also cancel or suspend contests if they violate any of the platform's rules or guidelines.

  • 5. Disqualification and Refunds

    Participants or contest creators who violate the rules may be disqualified without a refund. SINNTS holds no responsibility for contest-related disputes between users, but will provide support as needed to resolve issues according to the platform’s guidelines.

  • 6. Compliance with Laws

    All contests must comply with local, state, and federal laws and regulations. Contest creators are responsible for ensuring that their contests do not violate any legal requirements.

  These terms are in place to ensure a fair and enjoyable experience for all users participating in SINNTS contests. By creating or participating in a contest, you agree to abide by these terms.

• Payment and Transactions

  • 1. Payment Terms

    Sinnts accepts a variety of payment options, including major credit cards, select debit cards, and other methods that may be periodically available on our platform. By submitting a purchase order through our Service, you grant Sinnts or our chosen payment processor the authority to debit the specified account for the total amount due. Transactions are to be completed in Naira unless alternate currencies are supported by the payment options provided by Sinnts.

    To facilitate payment and ensure compliance with legal requirements, our payment processing partners may request personal details such as a government-issued ID, NIN, full legal name, address, date of birth, or BVN. They may also directly reach out to you if any issues arise during the payment process.

    In the event that your payment is declined, please double-check your information and attempt the transaction again. Should the issue persist, please contact our customer support through the email associated with your purchase.

    By adding funds to your SINNTS Wallet, you authorise us to charge your chosen payment method for the specified amount. 5.2. All payments made through SINNTS Wallet are final, and no refunds will be issued except as required by law. 5.3. You are responsible for ensuring that all transaction details are accurate. We are not liable for any errors in transactions caused by incorrect information provided by you.

  • 2. Gift Purchases and Transfers

    • 2.1. Gifts purchased through SINNTS Wallet can be sent to other users.
    • 2.2. Once a gift is sent, it cannot be cancelled or refunded.
    • 2.3. You must ensure that the recipient details are accurate, as we are not responsible for gifts sent to incorrect recipients.

  • 3. Fees and Charges

    • 3.1. Certain transactions through SINNTS Wallet may incur fees. These will be clearly displayed before you confirm the transaction.
    • 3.2. All fees are non-refundable and subject to change.

  • 4. Suspension and Termination

    • 4.1. We reserve the right to suspend or terminate your access to SINNTS Wallet at our discretion, particularly if you violate these terms.
    • 4.2. In the event of termination, any remaining balance in your SINNTS Wallet will be forfeited unless required otherwise by law.

  • 5. Privacy and Data Security

    • 5.1. We take your privacy seriously and will protect your personal information in accordance with our Privacy Policy.
    • 5.2. You consent to our collection and use of your data as outlined in our Privacy Policy.

  • 6. Limitation of Liability

    • 6.1. SINNTS is not liable for any direct, indirect, incidental, or consequential damages arising from your use of SINNTS Wallet.
    • 6.2. We do not guarantee that SINNTS Wallet will be error-free, uninterrupted, or free from unauthorised access.

• Disclaimer of Warranty

  THE SERVICES PROVIDED BY SINNTS ARE OFFERED ON AN “AS IS“ AND “AS AVAILABLE“ BASIS. SINNTS MAKES NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS REGARDING THE OPERATION OF ITS SERVICES, OR THE INFORMATION, CONTENT, OR MATERIALS CONTAINED THEREIN. YOUR USE OF THESE SERVICES, INCLUDING ANY CONTENT OR ITEMS OBTAINED THROUGH THEM, IS AT YOUR SOLE RISK. SINNTS AND ITS ASSOCIATES MAKE NO GUARANTEES ABOUT THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. SINNTS WILL NOT BE LIABLE FOR ANY FRAUDULENT, FAILED, OR INCOMPLETE TRANSACTIONS ON OUR PLATFORM. HOWEVER, WE RESERVE THE RIGHT TO PROVIDE DETAILS OF SUCH TRANSACTIONS TO APPROPRIATE AUTHORITIES TO ASSIST IN INVESTIGATIONS. SINNTS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. THIS DISCLAIMER DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

• Changes to Terms

  We may update these terms from time to time. Any changes will be communicated to you, and your continued use of SINNTS Wallet after such changes constitutes acceptance of the new terms.

• Entire Agreement and Severability

  These Terms, along with any other legal notices and agreements published by SINNTS on the Platform, constitute the entire agreement between you and SINNTS Tech Ltd. regarding the use of the Services. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.

• Governing Law and Dispute Resolution

  These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. You agree that any disputes arising out of or relating to these Terms or your use of the Services will be resolved exclusively through binding arbitration conducted in Nigeria, in accordance with the arbitration rules of the Nigerian Arbitration and Conciliation Act. The arbitration shall be conducted in English, and the decision rendered by the arbitrator shall be final and binding. You agree to waive any right to a trial by jury or to participate in a class action.

• Modifications to the Terms

  SINNTS reserves the right to modify or update these Terms at any time, with or without prior notice. Any changes to the Terms will be effective immediately upon posting on the Platform. It is your responsibility to review the Terms regularly to stay informed of any updates. Your continued use of the Services following the posting of changes constitutes your acceptance of those changes.

• Termination

  SINNTS reserves the right to terminate or suspend your account and access to the Services, with or without notice, for conduct that SINNTS believes violates these Terms or is harmful to other users, SINNTS, or third parties. Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may do so by discontinuing the use of the Platform and deleting your account. The provisions of these Terms that by their nature should survive termination shall continue to apply.
